Sample Production & Confidentiality Agreement

This agreement outlines the terms for the production of your product sample. By proceeding with this sample order, you are entering into a legally binding agreement.

By submitting this sample order, you confirm and agree to the following on behalf of your company:

  1. Purpose of Sample: You acknowledge that this sample is being produced solely for your internal evaluation, testing, and approval. It is not intended for commercial sale, public distribution, or any promotional use.   

  2. Intellectual Property & Confidentiality:

     
    • You affirm that you own or have the right to use all intellectual property, including formulas and specifications, that you provide.

    • You agree to treat the physical sample and all related technical information from the manufacturer as strictly confidential. You will not attempt to reverse-engineer the sample or share it with any competing manufacturer or third party.  

       
  3. No Warranties for Commercial Use: The sample is provided on an “as-is” basis for evaluation. whitelabl.in and its manufacturing partners make no warranties, express or implied, regarding the sample’s marketability, fitness for a particular purpose, or commercial viability. The sole warranty is that the sample will be produced in accordance with the specifications you have provided.

  4. Responsibility for Testing & Approval: You are solely responsible for thoroughly testing and evaluating the sample. Your formal approval of this sample will designate it as the “Golden Standard.” Any future bulk production order will be based on the premise that this approved sample meets your requirements for formulation, quality, and sensory characteristics.

     
  5. Limitation of Liability: The liability of whitelabl.in and its manufacturing partners related to this sample order is strictly limited to the cost paid for the sample’s production. We are not liable for any indirect or consequential damages, including lost profits or business opportunities, arising from the sample.

  6. Transition to Bulk Order: You understand that this agreement governs the sample phase only. Placing a subsequent bulk order will require your acceptance of the separate Bulk Production Authorization & Commercial Liability Agreement, which governs commercial production and its associated liabilities.
